LOUIS AND THE WELLPOINT COMPANIES, INC.; PRESCRIBING THE FORM AND DETAILS OF SAID AGREEMENT; MAKING CERTAIN FINDINGS WITH RESPECT THERETO; AUTHORIZING OTHER RELATED ACTIONS IN CONNECTION WITH THE REDEVELOPMENT PROJECT; AND CONTAINING A SEVERABILITY CLAUSE.
